A corporation is a separate legal entity and has all the rights, powers and privileges of a person. A Shareholder may own the company, but the corporation owns all assets under it.
When you incorporate you have the choice to become a numbered company or you can choose a name for your company. When it comes to naming your company it is wise to pick your top 3 names just in case the first name you chose is already being used. You must have your name searched at a registry office to check your name to see if it is free for you to use. If the name you chose is free a NUANS report will be done, which will reserve that name for 90 days. If you want that particular name you will want to make sure you incorporate before the 90 days are up.
A corporation is made up of Shareholders, Directors and Officers. A person can be all three or there can be different people in each position. This is something that needs to be established before incorporating.
Every corporation has shares to which the Shareholders purchase and each share has a nominal value and rights.
If there is more than one shareholder in a corporation a Shareholder Agreement is something that one should think about preparing.
